Research Use Restriction

By purchasing any product from RISE, the buyer represents and warrants that: (i) the buyer is a qualified researcher; (ii) the products will be used exclusively for in vitro research purposes; (iii) the buyer will comply with all applicable local, state, and federal laws and regulations.

Limitation of Liability

To the maximum extent permitted by applicable law, RISE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the purchase or use of its products. The total liability of RISE shall not exceed the amount paid for the specific product giving rise to the claim.

Indemnification

The buyer agrees to indemnify, defend, and hold harmless RISE and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of the buyer's misuse of any product or violation of these terms.

Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
